help me to convert a xvid film to wmv

I get a film with xvid format. I want to convert to wmv, because the file size is more small.
I can use mplayer to play the xvid file. But it is no sound when I use MS mediaplayer or Realplayer to play it.
I use winavi to convert it to wmv,but it displayed error.
I use GSpot and Nandub to check it ,it displayed on error. its audio is AC3, video is XVID, and the codec is all installed.
which software can use to convert it to wmv?

I would suggest trying SUPER. It has helped me in almost all video conversions that I have done (all except for one). Link: http://www.erightsoft.net/Superdc.html

it can convert the xvid file to wmv with suttitle?
